OVERVIEW

This website is operated by Vertigo Home US, Inc. Throughout the site, the terms “Vertigo Home,” “we,” “us,” and “our” refer to Vertigo Home US, Inc.

Vertigo Home offers this website, including the information, products, tools, features, and services available through it, subject to these Terms of Service (“Terms”) and the policies referenced herein.

By accessing or using our website, creating an account, placing an order, purchasing merchandise, or otherwise using our services, you agree to these Terms and to any additional policies or terms applicable to your transaction.

Please read these Terms carefully before using our website or placing an order. If you do not agree to these Terms, you should not use the website or our services.

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to offer products and services online.


1. POLICIES INCORPORATED INTO THESE TERMS

The following Vertigo Home policies, together with any product-specific terms disclosed on a product page, quote, invoice, order confirmation, or other written communication relating to an order, are incorporated into these Terms by reference:

  • Shipping Policy

  • Special Order Policy

  • Privacy Policy

  • Vertigo Rewards Program Terms & Conditions

  • Any manufacturer-specific, promotion-specific, warranty, delivery, or product-specific terms disclosed before purchase

These policies should be read together with these Terms.

Where a specific product, Special Order, promotion, shipping, delivery, or other transaction-specific term conflicts with a more general provision of these Terms, the more specific term will control for that transaction, except to the extent prohibited by applicable law.

Nothing in these Terms or our other policies limits a consumer right that cannot legally be waived.


2. ELIGIBILITY AND ONLINE STORE USE

By placing an order, you represent that you are legally capable of entering into a binding transaction or have the authorization of a parent, legal guardian, business, or other party on whose behalf you are acting.

You may not use our website, products, or services for any unlawful, fraudulent, abusive, or unauthorized purpose.

You may not transmit viruses, malicious code, automated attacks, or other technology intended to disrupt, damage, interfere with, or gain unauthorized access to our website, systems, accounts, or those of others.

A violation of these Terms may result in suspension or termination of access to our services.


3. CUSTOMER ACCOUNTS AND ACCOUNT SECURITY

Certain features of our website may use a customer account or account-access system.

You are responsible for providing accurate information and for maintaining the security of any email account, authentication code, device, or other method used to access your customer account.

You are responsible for activity conducted through your account unless otherwise required by law.

Please notify us promptly if you believe your account or personal information has been used without authorization.


4. ORDER SUBMISSION AND ACCEPTANCE

Submitting an order and receiving an automated order confirmation means that we have received your order. It does not necessarily mean that we have finally accepted the order or confirmed that all merchandise is available.

Orders may be subject to payment authorization, fraud review, address verification, inventory confirmation, manufacturer or distributor availability, shipping restrictions, and other reasonable fulfillment requirements.

We reserve the right to hold, verify, decline, limit, or cancel an order where reasonably necessary, including because of:

  • suspected fraud or unauthorized payment;

  • incomplete or inaccurate customer information;

  • pricing or promotional errors;

  • inventory discrepancies;

  • manufacturer discontinuation or unavailability;

  • shipping or geographic restrictions;

  • suspected unauthorized resale or commercial redistribution;

  • misuse of promotions, discounts, rewards, or account features; or

  • other circumstances that reasonably prevent us from fulfilling the transaction.

If we cancel an order that has been paid, we will refund amounts paid for the cancelled merchandise as required by applicable law.

We may request information reasonably necessary to verify an order before fulfillment.


5. BILLING, PAYMENT AND ACCOUNT INFORMATION

You agree to provide current, complete, and accurate billing, payment, shipping, and account information for purchases made through our store.

You agree to promptly update information when necessary so that we may process transactions and communicate with you regarding your order.

We may limit quantities purchased per person, household, customer account, payment method, billing address, shipping address, or order where reasonably necessary.

Payment authorization does not guarantee product availability or final order acceptance.


6. PRICING, PROMOTIONS AND ERRORS

We make reasonable efforts to ensure that pricing and product information are accurate. However, typographical, technical, pricing, promotional, inventory, or other errors may occasionally occur.

We reserve the right to correct errors, inaccuracies, or omissions and, where reasonably necessary, to cancel or modify affected transactions.

If merchandise has been offered at an incorrect price because of a genuine error, we may contact you for instructions or cancel the affected item and refund amounts paid for it, as permitted by applicable law.

Prices may change without notice before an order is placed.

Promotions, coupon codes, sale pricing, loyalty rewards, and other offers may be subject to specific dates, product exclusions, manufacturer restrictions, minimum purchases, quantity limits, or other disclosed conditions.

Unless expressly stated otherwise:

  • promotions and discount codes may not be combined;

  • offers may not be applied retroactively to previously completed purchases; and

  • promotional errors, unauthorized use, or technical misuse may be corrected.

Manufacturer restrictions may prevent certain brands or products from participating in particular promotions.


7. TAXES

Applicable sales, use, excise, or similar taxes will be calculated and collected when required by applicable law.

Tax calculations may depend on the destination, product, transaction type, customer status, or other legally relevant factors.

Customers claiming a resale, tax-exempt, or other special tax status are responsible for providing valid documentation when required.


8. PRODUCT INFORMATION

We make reasonable efforts to accurately describe and display the products offered through our website.

Product descriptions, dimensions, specifications, materials, photographs, colors, pricing, availability, packaging, country of origin, and other information may occasionally contain errors or may be changed by manufacturers without advance notice.

Many products offered by Vertigo Home are manufactured by third parties. Manufacturers may reasonably change packaging, minor specifications, production methods, hardware, labeling, materials, finishes, or other product details.

If a manufacturer makes a material change that significantly affects the nature of the merchandise ordered and we become aware of it before fulfillment, we will address the matter as reasonably appropriate.


9. COLORS, MATERIALS, FINISHES AND NATURAL VARIATION

We make reasonable efforts to display colors, materials, patterns, textures, and finishes accurately.

However, screens, devices, lighting, photography, image processing, and other factors may affect how a product appears online.

Natural, handmade, or production-related materials may also exhibit variation.

Variations may occur in materials including, without limitation:

  • wood and wood grain;

  • marble, stone, and concrete;

  • leather;

  • ceramics;

  • glass;

  • textiles;

  • metals;

  • hand-applied finishes;

  • wallpaper;

  • natural fibers; and

  • other handmade or naturally variable materials.

Reasonable variations in grain, veining, texture, pattern placement, coloration, dimensions, finish, or other inherent characteristics are generally part of the nature of these materials and are not necessarily defects.

Where samples are available, customers concerned about color, material, pattern, finish, or texture should request a sample or contact Vertigo Home before ordering.

Samples are intended as general representations and may not be identical to the final merchandise.


10. DIMENSIONS, FIT AND SITE CONDITIONS

Customers are responsible for reviewing product dimensions and specifications before ordering.

Before purchasing furniture, lighting, wallpaper, fixtures, or other products where fit or installation is important, customers should confirm:

  • room and installation dimensions;

  • doorway and hallway clearances;

  • stairways and elevators;

  • access routes;

  • ceiling heights;

  • mounting locations;

  • electrical or plumbing requirements;

  • structural requirements;

  • intended placement; and

  • other relevant site conditions.

Vertigo Home is not responsible for merchandise that does not fit an intended space or access route where the dimensions or applicable specifications were disclosed and the merchandise itself is not defective.


11. PRODUCT AVAILABILITY AND LEAD TIMES

Product availability is subject to change.

Some products are stocked by Vertigo Home, while others may be held by a manufacturer, distributor, warehouse, or other third party.

Estimated production, availability, shipment, and delivery dates are based on information reasonably available to us when provided and may change.

Delays may result from circumstances including:

  • manufacturing schedules;

  • material shortages;

  • vendor inventory changes;

  • freight conditions;

  • customs;

  • port delays;

  • carrier delays;

  • labor disruptions;

  • severe weather;

  • governmental action; or

  • other circumstances outside our reasonable control.

We will comply with applicable laws governing shipment representations and required notices concerning delayed orders.

If applicable law requires us to offer a customer the choice to consent to a shipment delay or cancel an unshipped order for a refund, those legal rights will apply notwithstanding another provision of these Terms or our policies.


12. SPECIAL ORDERS

Certain merchandise is identified as a Special Order, made-to-order, custom, non-stocked, or otherwise ordered specifically for the customer.

Special Orders are generally final sale and non-returnable once submitted to the applicable manufacturer, distributor, or vendor.

Once an order has been committed to a vendor, cancellation cannot be guaranteed.

If a customer requests cancellation, Vertigo Home may ask the applicable vendor whether cancellation is still possible. If the vendor refuses cancellation, the order remains binding except where cancellation or refund rights are required by applicable law.

If cancellation is permitted as an accommodation, applicable manufacturer or vendor cancellation charges, restocking fees, nonrecoverable costs, payment-processing costs, freight already incurred, or other charges described in our Special Order Policy may apply.

Special Orders are subject to our separate Special Order Policy, which contains additional information regarding final sale, cancellations, lead times, inspection, damage claims, measurements, samples, warranties, and other requirements.

Nothing in this section limits legally required shipment-delay, cancellation, refund, warranty, or other consumer rights.


13. SHIPPING

Shipping is governed by our Shipping Policy, which is incorporated into these Terms.

Shipping rates, free-shipping thresholds, carrier methods, freight surcharges, manufacturer shipping requirements, and other delivery charges may change from time to time and will be governed by the Shipping Policy and the terms disclosed in connection with the applicable purchase.

Customers are responsible for providing a complete and accurate shipping address and contact information.

Additional charges resulting from customer-provided incorrect or incomplete information may be the customer's responsibility to the extent permitted by law.


14. SPLIT SHIPMENTS AND DIRECT SHIPMENTS

Orders may be fulfilled in one or more shipments.

Items within the same order may:

  • ship on different dates;

  • arrive in separate packages;

  • have different tracking numbers; or

  • ship directly from Vertigo Home, a manufacturer, distributor, warehouse, or other authorized fulfillment location.

Shipment of part of an order does not mean that remaining unshipped merchandise has been cancelled.

If merchandise is delayed, applicable legal requirements concerning delayed shipments will continue to apply.


15. FREIGHT AND SPECIAL DELIVERY SERVICES

Large, heavy, oversized, fragile, or other qualifying merchandise may require freight or specialized delivery.

The services included in a delivery are limited to those expressly stated in the applicable shipping method, product page, order documentation, or written communication.

Unless expressly included, delivery does not necessarily include:

  • assembly;

  • installation;

  • electrical or plumbing work;

  • wall or ceiling mounting;

  • stair carry;

  • room-of-choice placement;

  • unpacking;

  • packaging removal; or

  • disposal of existing merchandise.

Customers are responsible for confirming that the selected delivery method is appropriate for their location and merchandise.


16. MISSED, REFUSED AND UNDELIVERABLE SHIPMENTS

A customer's refusal of correctly supplied, non-defective merchandise does not automatically constitute an approved cancellation or return.

Where permitted by law, customers may be responsible for reasonable costs resulting from circumstances within their control, including:

  • refused delivery;

  • missed delivery appointments;

  • failure to provide required access;

  • incorrect or incomplete addresses;

  • address corrections;

  • storage;

  • redelivery;

  • return freight; or

  • other carrier or receiving charges.

Any return resulting from a refused or undeliverable shipment remains subject to the applicable Return & Refund Policy, Shipping Policy, Special Order Policy, and product-specific terms.


17. DELIVERY TO THIRD-PARTY RECIPIENTS

If a customer directs an order to a third-party recipient, including a:

  • receiving warehouse;

  • interior designer;

  • architect;

  • freight forwarder;

  • storage facility;

  • installer;

  • contractor;

  • property manager; or

  • other designated recipient,

delivery to that recipient may constitute delivery to the customer for purposes of receipt, inspection, and applicable claim procedures.

Customers are responsible for ensuring that their designated recipient promptly inspects merchandise and follows applicable damage-reporting requirements.


18. DELIVERY CONFIRMATION AND MISSING PACKAGES

Carrier tracking information, delivery scans, photographs, signatures, geolocation data, or other carrier records may be used as evidence of delivery.

A tracking status indicating “delivered” does not necessarily mean Vertigo Home will automatically deny assistance with a legitimate delivery issue. Customers should promptly check the delivery location, household members, building personnel, neighbors, and carrier information and then contact us if the package cannot be located.

Vertigo Home may assist with a legitimate carrier investigation when appropriate.

However, confirmed delivery does not automatically obligate Vertigo Home to reship or refund merchandise at no cost, particularly where the carrier confirms successful delivery and there is no evidence that the merchandise was lost before delivery.

Applicable legal rights remain unaffected.


19. DAMAGE, SHORTAGE AND DELIVERY CLAIMS

Customers should inspect merchandise promptly after delivery.

If merchandise arrives damaged, incorrect, incomplete, or with a suspected defect, customers should follow the reporting procedures and deadlines provided in the applicable Shipping Policy, Special Order Policy, product documentation, or manufacturer requirements.

Customers may be asked to provide:

  • photographs of the merchandise;

  • photographs of the shipping carton and packaging;

  • photographs of labels;

  • photographs showing the damage;

  • delivery receipts or Bills of Lading;

  • serial numbers;

  • product labels; or

  • other documentation reasonably necessary to investigate a claim.

Customers should retain all merchandise, cartons, inserts, and packing materials until the claim is resolved.

For freight deliveries, visible damage should be noted on the delivery receipt or Bill of Lading before signing whenever reasonably possible.

Customers should not discard, alter, repair, assemble, install, or otherwise modify merchandise that is the subject of a damage or defect claim unless instructed to do so.

Failure to report a claim promptly may affect our ability to recover from the manufacturer, vendor, or carrier. Vertigo Home will make reasonable efforts to assist with legitimate claims, but cannot guarantee that a third-party carrier or manufacturer will approve a claim submitted outside its required reporting period.


20. RETURNS, REFUNDS AND FINAL SALE

Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms.

Return eligibility depends on the product, condition, timing, reason for return, and any applicable product-specific or manufacturer terms.

Certain merchandise may be final sale or otherwise non-returnable, including merchandise identified as such before purchase.

Special Orders are governed by the Special Order Policy.

Nothing in these Terms eliminates a return, refund, warranty, or other remedy required by applicable law.


21. WALLPAPER

Wallpaper is generally a Special Order and is subject to the applicable Special Order and product-specific terms.

Customers are responsible for determining the quantity required for their project, including allowances for:

  • pattern repeat;

  • matching;

  • trimming;

  • waste;

  • site conditions; and

  • installer requirements.

We strongly recommend consulting a qualified wallpaper installer before ordering.

Customers should order sufficient wallpaper for the entire project at one time whenever possible. Additional rolls ordered later may come from a different production run or dye lot and may not match exactly.

Wallpaper samples are intended to help evaluate color, texture, scale, and material, but a sample may not display the full pattern and may vary reasonably from subsequent production.

All wallpaper should be inspected before it is cut, pasted, trimmed, or installed.

If wallpaper appears damaged, defective, incorrect, or materially inconsistent with the order, installation should stop and Vertigo Home should be contacted before further work is performed.

Installation, cutting, or alteration of wallpaper may constitute acceptance of observable characteristics that reasonably could have been identified before installation.

Except where required by law or expressly approved in writing, Vertigo Home is not responsible for installer labor, removal costs, reinstallation costs, wall preparation, wall repair, or other third-party expenses arising from installation of merchandise with a problem that reasonably should have been identified beforehand.

Installation information is provided in good faith, but site conditions and installer workmanship are outside Vertigo Home's control.


22. INSTALLATION, ASSEMBLY AND PROFESSIONAL SERVICES

Unless expressly included in writing, installation and assembly are not included in the purchase price of merchandise.

Customers and their installers are responsible for verifying merchandise, specifications, dimensions, compatibility, voltage, electrical requirements, mounting requirements, plumbing requirements, structural conditions, applicable codes, and other site-specific requirements before installation.

Products requiring specialized installation should be installed by qualified professionals.

If a product appears damaged, incorrect, defective, or unsuitable, installation should stop and Vertigo Home should be contacted.

Except where required by law or expressly approved in writing, Vertigo Home is not responsible for installation, removal, reinstallation, electrician, plumber, contractor, installer, wall repair, construction, or other third-party labor costs resulting from installation performed despite a visible or reasonably discoverable issue.


23. MANUFACTURER WARRANTIES

Certain merchandise may be covered by a warranty provided by the manufacturer.

Warranty coverage, duration, exclusions, claim requirements, and remedies vary by manufacturer and product.

Where appropriate, Vertigo Home will make reasonable efforts to assist customers with legitimate manufacturer warranty claims.

The manufacturer may require photographs, documentation, inspection, return of the merchandise, replacement parts, or direct communication with the customer.

Unless Vertigo Home expressly provides a separate written warranty, manufacturer warranties are provided by the manufacturer and remain subject to that manufacturer's terms and decisions.

A manufacturer warranty remedy may consist of repair, replacement parts, replacement merchandise, credit, or another remedy determined under the applicable warranty. A warranty claim does not automatically create a right to a cash refund from Vertigo Home unless required by law.

24. PAYMENT DISPUTES AND CHARGEBACKS

Nothing in these Terms prevents a customer from exercising payment-dispute rights available under applicable law.

If a payment dispute, chargeback, or similar claim is initiated, Vertigo Home may provide the applicable payment processor, card issuer, bank, financial institution, platform, or other reviewing party with information reasonably necessary to investigate or respond to the dispute.

This information may include:

  • order and transaction records;

  • customer communications;

  • product information;

  • accepted policies;

  • shipping and fulfillment records;

  • tracking information;

  • carrier delivery confirmation;

  • signatures or delivery photographs;

  • return records;

  • refund records; and

  • other information relevant to the transaction.

Personal information used for this purpose will be handled in accordance with our Privacy Policy and applicable law.


25. INTERNATIONAL ORDERS

International orders may be subject to customs duties, import taxes, brokerage fees, handling charges, or other governmental or carrier-imposed charges.

Unless expressly stated as included or collected by Vertigo Home at checkout, these charges are the customer's responsibility.

Customers are responsible for complying with applicable import laws and restrictions in the destination country.

We may decline orders to destinations that we cannot reasonably or legally service.


26. GIFT CARDS

Gift cards and store credits may be subject to separate terms disclosed at issuance or purchase and to applicable law.

Gift cards are not redeemable for cash except where required by applicable law.

Nothing in these Terms limits statutory rights applicable to gift cards or store credit.


27. VERTIGO REWARDS

Participation in the Vertigo Rewards Program is subject to the separate Vertigo Rewards Program Terms & Conditions.

Rewards, points, benefits, offers, or program features may be subject to eligibility requirements, exclusions, expiration rules, or other terms described in that policy, to the extent permitted by law.


28. TRADE, DESIGNER AND COMMERCIAL ORDERS

Trade, designer, contract, commercial, quoted, purchase-order, project, or other professional transactions may be subject to additional written terms.

Where additional terms are provided in a quote, proposal, invoice, purchase order acknowledgment, trade agreement, project agreement, or other written documentation, those transaction-specific terms will control over conflicting general provisions of these Terms for that transaction, except where prohibited by law.


29. ELECTRONIC COMMUNICATIONS

When you use our website, place an order, or communicate with us electronically, you consent to receiving transaction-related communications electronically where permitted by law.

These may include order confirmations, receipts, shipping notifications, account communications, policy notices, warranty communications, customer-service communications, and other information relating to your transaction.

You agree that electronic records, notices, disclosures, and communications may satisfy legal requirements that such communications be in writing to the extent permitted by applicable law.

This provision does not constitute consent to receive marketing communications where separate consent is required by law.

Marketing communications and privacy choices are governed by applicable law, your consent choices, and our Privacy Policy.


30. PERSONAL INFORMATION AND PRIVACY

Our collection, use, disclosure, retention, and protection of personal information are governed by our Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

Where a provision of these Terms conflicts with the Privacy Policy regarding the handling of personal information, the Privacy Policy will control with respect to that information, subject to applicable law.


31. THIRD-PARTY TOOLS AND SERVICES

Our website and business operations may rely on third-party platforms, payment processors, applications, carriers, manufacturers, service providers, analytics providers, or other third-party services.

These third parties may be governed by their own terms and privacy practices.

To the maximum extent permitted by law, Vertigo Home is not responsible for the independent operation, availability, security, content, or conduct of third-party services that we do not control.

Nothing in this provision limits our responsibility for third parties where applicable law provides otherwise.


32. THIRD-PARTY LINKS

Our website may contain links to websites operated by third parties.

Vertigo Home does not control and is not responsible for the content, accuracy, availability, security, policies, products, services, or practices of independent third-party websites.

Customers should review the applicable terms and privacy policies before engaging in transactions with third parties.


33. USER REVIEWS, COMMENTS AND SUBMISSIONS

If you submit a review, photograph, comment, suggestion, question, idea, or other content to Vertigo Home, you represent that you have the right to submit that content and that it does not violate applicable law or another person's rights.

Reviews and testimonials must reflect genuine experiences and may not be fraudulent, deceptive, impersonated, fabricated, or otherwise misleading.

You may not submit content that is:

  • unlawful;

  • defamatory;

  • threatening;

  • discriminatory;

  • obscene;

  • fraudulent;

  • malicious;

  • infringing;

  • deceptive;

  • spam;

  • unrelated to the applicable product or service; or

  • designed to compromise the security or operation of the website.

We may moderate or remove content for legitimate reasons, including violations of these standards, but we do not remove or suppress reviews merely because they express a negative opinion.

If you voluntarily provide photographs, reviews, or other content for publication or promotional use, you grant Vertigo Home a non-exclusive, worldwide, royalty-free right to use, reproduce, display, publish, and adapt that content in connection with our business and marketing, unless otherwise agreed in writing.

Unless otherwise stated, original content created by or for Vertigo Home, including website text, graphics, logos, layouts, photography owned by Vertigo Home, and other proprietary materials, is owned by or licensed to Vertigo Home and protected by applicable intellectual-property laws.

Manufacturer and third-party trademarks, product names, logos, photographs, designs, and other intellectual property remain the property of their respective owners.

You may not reproduce, copy, scrape, distribute, commercially exploit, or create unauthorized derivative works from protected website content without appropriate permission.


35. PROHIBITED USES

In addition to other restrictions stated in these Terms, you may not use the website or its content:

  • for unlawful or fraudulent purposes;

  • to violate applicable laws or regulations;

  • to infringe intellectual-property or privacy rights;

  • to impersonate another person or entity;

  • to provide materially false or misleading information;

  • to transmit malware or malicious code;

  • to interfere with website security or operation;

To the extent permitted by applicable law, Vertigo Home will not be liable for delays or failure to perform caused by circumstances beyond our reasonable control.

Such circumstances may include:

  • natural disasters;

  • severe weather;

  • fire;

  • flood;

  • war or civil unrest;

  • labor disputes;

  • epidemics or public-health emergencies;

  • manufacturer disruptions;

  • production delays;

  • shortages of materials or components;

  • supply-chain disruptions;

  • carrier failures;

  • port closures or congestion;

  • customs delays;

  • governmental actions;

  • power failures;

  • telecommunications failures; or

  • similar events outside our reasonable control.

This section does not eliminate legally required shipment-delay notices, cancellation rights, refunds, warranties, or other consumer protections.


37. DISCLAIMER OF WEBSITE WARRANTIES

To the maximum extent permitted by applicable law, the website and online services are provided on an “as is” and “as available” basis.

We do not guarantee that the website will always be uninterrupted, secure, error-free, or continuously available.

We do not disclaim warranties or consumer protections that cannot legally be waived.

Product warranties, where applicable, are addressed separately in these Terms and through applicable manufacturer warranties.


38. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Vertigo Home US, Inc. and its directors, officers, employees, affiliates, agents, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to use of the website or merchandise purchased through it.

This may include, where permitted by law:

  • lost profits or revenue;

  • loss of data;

  • loss of use;
